1. ELIGIBILITY:
A. NO PURCHASE IS NECESSARY TO ENTER OR CLAIM THE PRIZE. A PURCHASE WILL NOT INFLUENCE THE JUDGES’ SELECTION OF THE WINNER. 7 Brew Coffee – Stand 777 Video Contest (the “Contest”) is open to legal residents of the 50 United States and the District of Columbia, age eighteen (18) years or older at the time of entry except (i) employees of Brew Culture, LLC, a Wyoming limited liability company (“Sponsor”) and its affiliated entities, and (ii) employees of Mavrck LLC, d/b/a Later, a Delaware limited liability company (“Administrator”) and its affiliated entities. Sponsor, Administrator, and their respective affiliated entities are collectively referred to herein as the “Contest Entities.”
B.The Contest is governed by United States law and is subject to all applicable federal, state and local laws and regulations. By entering the Contest, Entrants agree to accept and be bound by all terms of these official rules (“Official Rules”). Void where prohibited by law.
- HOW TO ENTER:
A. From Thursday, May 21, 2026, 12:00 AM Central Time through Wednesday, June 3, 2026, 11:59 PM Central Time (the “Entry Period”), Sponsor and Administrator will conduct the Contest in which participants will submit a Qualifying Submission (as defined below) to the Judging Panel (as defined below). There is one (1) way to enter the Contest. Entrant will visit the website located at https://app.7brew.com/stand777contest (the “Website”) and follow the instructions to complete and submit the Qualifying Submission (as defined below) and online form, including Entrant’s name, address, telephone number, birth date, email address, and any other information requested on the online form. To be eligible, each Contest entry must be received no later than Wednesday, June 3, 2026, 11:59 PM Central Time. LIMIT ONE (1) VALID SUBMISSION PER ENTRANT DURING THE ENTRY PERIOD regardless of the number of social media platform accounts they have. By way of example only, an Entrant may not make a submission using their Instagram account and then a different video submission using their TikTok account, only one (1) submission will be reviewed per Entrant, provided, the Entrant may post the same submission to both their Instagram account and TikTok account. In the event of multiple submissions by an Entrant, the first Qualifying Submission (as defined below) will be considered, and any following submissions will be automatically disqualified.
B. To qualify as a “Qualifying Submission,” an Entrant must (i) meet the requirements set forth in these Official Rules and on the Website; (ii) be available to attend the Prize (as defined below); (iii) have an Instagram account or TikTok account that is set to public during the entire Entry Period; (iv) submit an original video on the Administrator’s platform that contains an original jingle, beat, song, or rap about 7 Brew that was created solely by the Entrant, such original video (w) must be between fifteen (15) and ninety (90) seconds, (x) must be in a 9:16 full-screen video sizing format, (y) must have a voiceover or text overlay calling out the brand’s name (7Brew Coffee) within the first five (5) seconds of the video, and (z) may not include (1) any in-app or third party audio content or any other unauthorized third party audio or content; (2) any obscene, offensive, defamatory, or inappropriate content; (3) depict or contain illegal activities or unsafe behavior; (4) contain material that violates any law or regulation; or (5) contain content that violates any third party rights including, but not limited to, a third party’s trademarks, copyrights, name/image/likeness rights, or other intellectual property right; (v) post such original video to the Entrant’s public Instagram account and/or TikTok account within the Entry Period with the following hashtags “#7BrewStand777” and “#7BrewCoffee” and with a tag to Sponsor at “@7brewcoffee”, provided, however, Entrant’s post may not (x) include affiliate links, (y) enable shoppable or third party sites, or (z) display, tag, or mention any other brands in the post’s image, tags, or caption; and (vi) comply with Instagram’s and/or TikTok’s terms of use and community guidelines, as applicable. By submitting a Qualifying Submission, Entrant represents and warrants that they own or otherwise control all rights in and to the Qualifying Submission and have obtained all necessary rights, permissions, and releases from any individuals or third parties appearing in or contributing to the Qualifying Submission.
C.Entries generated by script, macro or other automated means will be void. The Contest Entities are not responsible for misdirected, incomplete, lost, late, illegible, undelivered, inaccurate or delayed entries, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems that may limit or affect a person’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest including, without limitation, errors that may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes or in any Contest-related materials. In the event of sabotage, acts of God, terrorism or threats thereof, computer virus or other events or causes beyond Sponsor’s control that corrupt the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in its sole discretion, to disqualify Entrants and/or modify, cancel or suspend the Contest. In the event of cancellation, Sponsor reserves the right to select the Winner (as defined below) and award the Prize (as defined below) from among all eligible, non-suspect Qualifying Submissions received prior to the event requiring such cancellation. False or deceptive entries or acts will render the Entrant ineligible. All entries become the property of the Sponsor and will not be acknowledged or returned. ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

JUDGING CRITERIA & WINNER SELECTION:

This is a skill-based Contest. Chance plays no part in determining the Winner (as defined below). The Qualifying Submissions will be judged in two (2) rounds:

- Round 1: For the first round, all Qualifying Submissions will be reviewed by a two (2) person panel made up of Sponsor’s manager of social media marketing and another Sponsor employee who is a specialist on brand marketing (the “Initial Panel”). The Initial Panel will judge each Qualifying Submission using the judging rubric set forth below. Each Qualifying Submission will receive a total score out of one hundred (100) points using the categories and score ranges set forth in the rubric below. The top thirty (30) Qualifying Submissions with the highest scores will move onto the final round of judging. In the event there are multiple Qualifying Submissions that have a tying score at the rank of thirty (30), the top “thirty (30)” will automatically be expanded to include any Qualifying Submissions that are tied at such position.

- Final Round: The top thirty (30) Qualifying Submissions (or expanded pool thereof as set forth above) will be judged in a final round by the “Judging Panel” which is made up of six (6) judges who are all currently employed by Sponsor within its marketing department. The Judging Panel consists of Sponsor’s Chief Marketing Officer, the Vice President of Marketing, and four (4) other key marketing professionals who have experience in social media marketing, brand marketing, and customer care marketing. For the Final Round, each Qualifying Submission’s score from Round 1 will be disregarded. Each Qualifying Submission will receive a total score out of one hundred (100) points using the categories and score ranges set forth in the rubric below. The Qualifying Submission with the highest total score in the Final Round will be the winner of the Contest (the “Winner”).

- In the Event of a Tie: In the event of a tie for the Winner in the Final Round, the Qualifying Submissions that are tied will be judged by the President and CEO of Sponsor. The scores from the Final Round will be disregarded and each tied Qualifying Submission will receive a total score out of one hundred (100) points using the categories and score ranges set forth in the rubric below. The Qualifying Submission resulting in the highest total score from the President and CEO’s judgment will be deemed the “Winner.”

- All judging decisions are final and binding. Sponsor reserves the right to substitute members of the Initial Panel or Judging Panel in its sole discretion, so long as any replacement judge has similar qualifications to the replaced party.

- The Initial Panel and Judging Panel will judge each qualified Qualifying Submission based on the following rubric and scoring system:

The Winner will be notified by Friday, June 5, 2026, 11:59 PM Central Time, by Sponsor or Administrator via email and/or call and must meet all eligibility requirements, including timely replying to the notification no later than Sunday, June 7, 2026, 11:59 PM Central Time, and execution and return of all necessary releases, licenses, declaration of eligibility, and other documents (if any) required by Sponsor and/or Administrator.

An Entrant being selected as the Winner of the Prize (as defined below) is contingent upon the Entrant fulfilling all requirements set forth in these Official Rules.

If there is a dispute as to the identity of the Winner, the winning Entrant will be declared to have been made by the authorized email account holder at time of entry. A potential Winner will be disqualified, the Prize will be forfeited and the next-highest-scoring Qualifying Submission will be designated as the alternate potential Winner if: (i) the winner notification is returned as undeliverable; (ii) the potential Winner declines the Prize (as defined below) for any reason or is unable to attend the Prize (as defined below) on the designated dates for any reason; (iii) a potential Winner fails to comply with any of the Official Rules; or (iv) a potential Winner does not respond to the email and/or call message notification or accept the Prize (as defined below) within forty-eight (48) hours from the initial transmission thereof.

The decisions of Sponsor and Administrator in all matters regarding this Contest are final and binding.

THE PRIZE:
A. The prize (the “Prize”) for the Winner of the Contest is an extended weekend trip for the Winner and one guest of their choosing to San Antonio, Texas beginning on Saturday, June 13, 2026, and ending on Tuesday, June 16, 2026, that includes: (i) round trip domestic airfare for the Entrant and their plus one to and from San Antonio, Texas, (ii) ground travel to and from the airport and hotel in San Antonio, Texas, (iii) reimbursement for any airport parking or Entrant’s rideshares to and from their home to the airport, (iv) three (3) nights of lodging at a hotel of Sponsor’s choice, (v) Sponsor branded “swag”, and (v) a total cash stipend of $1,600 to be used for food, entertainment, rideshares and incidental expenses for Entrant and their guest during the duration of the trip. The Winner is responsible for any costs not expressly included above and for any food, entertainment, rideshare, or other incidental expenses or costs incurred by Entrant and/or its plus one during the trip that exceed the $1,600 cash stipend.
B.THE TOTAL APPROXIMATE RETAIL VALUE OF THE PRIZE IS $11,000.00.
C. No substitution, change in dates or location, or transfer of the Prize or cash redemption is permitted by the Winner. Sponsor reserves the right to substitute the Prize (or portion thereof) of comparable or greater value in its sole discretion. There will be no substitutions if any Winner is unable, for any reason, to use or accept or attend the Prize absent agreement to the contrary by Sponsor. If any portion of the Prize is canceled or postponed for any reason, no alternative prize will be provided in lieu thereof, nor will Sponsor award an alternate prize or cash value or any part of the prize absent agreement to the contrary by Sponsor. The Prize may be subject to certain terms and conditions as specified by Sponsor.
D.The Winner is responsible for the reporting and payment of all federal, state and local income, sales and other taxes (if any) and any other costs and expenses associated with the Prize acceptance and use. All Prize details and additional terms, conditions, or eligibility requirements are in Sponsor’s and/or Administrator’s sole and absolute discretion.
E.By accepting the Prize, the Winner hereby grants to Sponsor, its affiliates, subsidiaries, successors, and assigns the irrevocable right and permission to use, publish, reproduce, broadcast, distribute, and display the Winner’s name, likeness, image, voice, biographical information, and any statements or content provided in connection with the Contest and the acceptance and participation in the Prize, in any and all media now known or hereafter developed, worldwide and in perpetuity, for advertising, marketing, promotional, and publicity purposes, without further notice, review, approval, or compensation, except where prohibited by law; and the Winner releases and agrees to hold harmless Sponsor and its affiliates, subsidiaries, successors, and assigns from any and all claims arising from such use.

LICENSE OF QUALIFYING SUBMISSIONS: By entering the Contest, each Entrant hereby irrevocably, unconditionally, and perpetually grants, unless prohibited by law, Sponsor and its affiliates, subsidiaries, successors, and assigns a perpetual, worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, edit, modify, adapt, publish, distribute, publicly perform, publicly display, create derivative works from, and otherwise exploit the Entrant’s Qualifying Submission, in whole or in part, in any manner and in any media or format now known or hereafter developed, for any lawful purpose, including without limitation advertising, marketing, promotion, and commercial purposes, without further notice, consent, or compensation to the Entrant. Upon making a Qualifying Submission, Entrant hereby waives any moral rights, rights of attribution, or rights of inspection or approval to the fullest extent permitted by law.

GENERAL: By entering the Contest, Entrant grants Contest Entities and their designees the right, unless prohibited by law, to use their names, user names, entries, cities and states of residences, voices, avatars, pictures and likenesses, without compensation, notification or approval, for the purpose of advertising and publicizing the goods and services of the Contest Entities and all matters related to the Contest, in any manner or medium, now or hereafter known, throughout the world in perpetuity. Sponsor is not required, under any circumstances, to publicize and/or market the Winner of the Contest or such Winner’s Qualifying Submission. THE CONTEST ENTITIES EXPRESSLY DISCLAIM ANY RESPONSIBILITY AND ENTRANTS AGREE TO INDEMNIFY AND HOLD HARMLESS THE CONTEST ENTITIES AND THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS AND AGENTS, FROM AND AGAINST ANY AND ALL CLAIMS, ACTIONS, DEMANDS AND/OR LIABILITIES FOR INJURY, DEATH, DAMAGE OR LOSS TO ANY PERSON OR PROPERTY RELATING TO OR ARISING IN CONNECTION WITH PARTICIPATION IN THE CONTEST AND/OR PRIZE REGARDLESS OF THE CAUSE OF SUCH INJURY OR LOSS, USE OR MISUSE OF THE PRIZE AWARDED IN THE CONTEST AND/OR PRINTING, DISTRIBUTION OR PRODUCTION ERRORS. THE WINNER ACKNOWLEDGES THAT THE PRIZE IS AWARDED “AS IS” AND THAT SPONSOR HAS NOT MADE, AND IS NOT IN ANY MANNER RESPONSIBLE OR LIABLE FOR, ANY REPRESENTATION, GUARANTEE OR WARRANTY, EXPRESSED OR IMPLIED, IN LAW OR IN FACT, RELATIVE TO THE PRIZE INCLUDING, BUT NOT LIMITED TO, ITS QUALITY, MECHANICAL CONDITION OR FITNESS FOR A PARTICULAR PURPOSE.
7. DISPUTES:
A.Except where prohibited, Entrants agree that: (i) any and all disputes, claims and causes of action arising out of or connected with the Contest or any prize awarded will be resolved individually, without resort to any form of class action and exclusively by the appropriate court located in the State of Arkansas; (ii) any and all claims, judgments, and awards to Entrants will be limited to actual out of pocket costs incurred, including costs associated with participating in this Contest, but in no event shall attorneys’ fees be awarded; and (iii) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, incidental and/or consequential damages, and any other damages other than for actual out of pocket costs incurred and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or Entrants’ and/or Sponsor’s rights and obligations in connection with the Contest are governed by and construed in accordance with the laws of the State of Arkansas, without giving effect to any choice of law or conflict of law rules.
B. If there is any conflict with any Contest details contained in these Official Rules and Contest details contained in Contest materials (including, but not limited to, point of sale, television, radio, and print advertising, promotional packaging, and other promotion media), the details of the Contest as set forth in these Official Rules shall prevail.
8. PRIVACY POLICY: Any personally identifiable information collected during an Entrant's participation in this Contest may be used by Sponsor, Administrator, and their affiliates, agents and marketers in accordance with Sponsor’s privacy policy, located at https://7brew.com/privacy-policy, and in accordance with Administrator’s privacy policy, located at later.com/privacy.
9. 10. SPONSOR/ADMINISTRATOR: The Sponsor of the Contest is Brew Culture, LLC, a Wyoming limited liability company having a place of business at 2710 S. 48th Street, Springdale, Arkansas 72762. The Administrator of the Contest is Mavrck LLC, d/b/a Later, a Delaware limited liability company having a place of business at 53 State Street, 21st Floor, Suite 2105, Boston, Massachusetts 02109.
